5. PRODUCTS AND VOUCHER TERMS
5.1 Products sold on the Website are digital voucher products. They may be redeemed only in accordance with the applicable Voucher Terms.
5.2 Before placing an Order, you must review the Voucher Terms displayed on the Website, including (where applicable):
- participating cinemas/venues;
- redemption/booking instructions;
- expiry dates;
- restrictions (e.g. format, screening types, peak/off-peak);
- whether the Product is single-use; and
- any other conditions imposed by the Partner Cinema.
5.3 Unless expressly stated otherwise, Products are supplied for personal use only and must not be resold, transferred for commercial gain, or used for any unlawful or fraudulent purpose.
5.4 We may suspend, cancel or void a Product where we reasonably believe it has been obtained, used or distributed fraudulently or in breach of these Terms or the Voucher Terms. Where we do so, we will act reasonably and proportionately.
6. MARKETING MATERIALS AND BRANDING
6.1 The Website may include logos, imagery, and marketing content belonging to SPARK, Showcase and/or other third parties.
6.2 You must not use, repurpose or publish such materials without the prior written permission of the relevant rights owner.
7. PLACING AN ORDER AND CONTRACT FORMATION
7.1 Eligibility. By placing an Order you confirm that you are at least 18 years old (or have permission from a parent/guardian) and that you have authority to use the payment method provided.
7.2 How Orders work. When you submit an Order, you are making an offer to purchase the Products under these Terms.
7.3 Acceptance. We accept your Order when we send you an order confirmation email and/or make the Product available to you. At that point a legally binding contract is formed between you and SPARK.
7.4 Pricing errors. If a pricing error is identified, we may cancel the Order and refund any amount paid, or contact you to confirm whether you wish to proceed at the correct price.
7.5 Availability. All Products are subject to availability. We may refuse or cancel an Order where necessary (for example, suspected fraud, technical error, or if we cannot supply the Product).
8. DELIVERY OF DIGITAL PRODUCTS
8.1 Products are normally delivered digitally immediately or within a short period after purchase (typically within 5 minutes) by:
(a) display on-screen; and/or
(b) email to the address provided at checkout; and/or
(c) access via your account area (where available).
8.2 If you do not receive your Product email within 5 minutes, please check your spam/junk folder and then contact us using the details on the Website.
8.3 You are responsible for ensuring your email address and contact details are correct at checkout.
9. PAYMENTS
9.1 Payment must be made in full at checkout.
9.2 Payments are processed securely by Stripe, Inc. (“Stripe”). We do not store your full payment card details.
9.3 We may receive limited transaction information (such as payment confirmation, order identifiers and customer reference details) for the purposes of fulfilment, customer support, accounting and fraud prevention.
9.4 If a payment is reversed, charged back, or disputed, we may suspend fulfilment and/or suspend the Product while the dispute is investigated, in accordance with applicable payment network rules and our fraud prevention processes.
10. VAT
10.1 VAT will be charged where applicable at the prevailing rate.
10.2 Where the VAT treatment of a Product depends on supplier or partner information, we rely on information available to us at the time of sale.
11. CANCELLATIONS, RETURNS AND REFUNDS (DIGITAL CONTENT)
11.1 Important – digital content supplied immediately. The Products are digital content supplied immediately after purchase.
11.2 Loss of the 14-day cancellation right. If you are a consumer in the UK, you normally have a legal right to cancel within 14 days under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. However, this right does not apply once the digital content has been supplied where you have requested immediate supply and acknowledged that you will lose your right to cancel.
11.3 By placing an Order, you agree to the immediate supply of the digital Product and acknowledge that you will lose your statutory right to cancel once supply begins (i.e. once the voucher is made available on-screen and/or sent by email).
11.4 Faulty or unusable Products. Nothing in these Terms affects your legal rights under the Consumer Rights Act 2015. If a Product is faulty, not received, not as described, or does not work as intended, please contact us and we will investigate and provide an appropriate remedy (which may include replacement, reissue, or refund depending on the circumstances).
11.5 User error and booking issues. We provide booking instructions with Products and you should follow them carefully. We do not provide refunds for valid, working Products that have been supplied correctly where issues arise due to failure to follow the booking instructions or due to circumstances outside our reasonable control.
11.6 Temporary voucher locks. Depending on the Partner Cinema booking system, if you enter a voucher code but do not complete a booking (for example if the browser crashes or you click “back”), the code may be temporarily locked for a short period (often up to 20 minutes) before it can be used again.
11.7 Incorrect voucher type purchased. If you purchased the wrong voucher type, contact us as soon as possible. If the Product has not been used and can be voided, we may be able to cancel it and issue a refund so you can purchase the correct Product. This may depend on whether the Partner Cinema or supplier system allows cancellation/voiding.
12. PARTNER CINEMA BOOKINGS
12.1 When you redeem a Product on a Partner Cinema website or booking platform, your booking contract is typically with the Partner Cinema and will be subject to that Partner Cinema’s own terms and conditions.
12.2 Any changes, cancellations, refunds or customer service relating to a completed cinema booking may need to be handled directly with the Partner Cinema, subject to their policies. This does not affect your rights against SPARK where the Product itself was faulty, not supplied, or not as described.
13. LIMITATION OF LIABILITY
13.1 Nothing in these Terms limits or excludes our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability which cannot legally be limited or excluded.
13.2 Subject to clause 13.1, we will not be liable for:
(a) losses that were not foreseeable at the time the contract was formed;
(b) indirect or consequential losses;
(c) loss of profit, business, revenue, goodwill or anticipated savings;
(d) failures caused by events outside our reasonable control (including internet outages, system failures, or Partner Cinema outages).
13.3 Our total aggregate liability to you for any claim relating to an Order will not exceed the total amount paid by you for the relevant Order.
13.4 Nothing in these Terms affects your statutory rights as a consumer.
14. PRIVACY AND DATA PROTECTION
14.1 We process personal data in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.
14.2 Please see our Privacy Policy for details of how we collect and use your personal information.
15. ELECTRONIC COMMUNICATIONS
15.1 By using the Website, you agree that we may communicate with you electronically, including sending order confirmations, invoices, service notices and support communications to the email address you provide.
15.2 You may opt out of marketing communications at any time using the unsubscribe link in marketing emails or by contacting us.
16. CHANGES TO THESE TERMS
16.1 We may update these Terms from time to time.
16.2 The version of the Terms in force at the time you place your Order will apply to that Order.
17. GOVERNING LAW AND JURISDICTION
17.1 These Terms and any dispute or claim arising out of or in connection with them will be governed by the laws of England and Wales.
17.2 If you are a consumer, you may also have rights to bring proceedings in the courts of your country of residence. Nothing in these Terms limits any mandatory consumer rights that apply in your jurisdiction.
18. GENERAL
18.1 Severability. If any part of these Terms is found to be unlawful or unenforceable, the remainder will remain in force.
18.2 No waiver. If we do not enforce a provision of these Terms, that does not mean we waive our right to enforce it later.
18.3 Third party rights. No one other than you and SPARK has any right to enforce these Terms, except where expressly stated.
